Terms of Service

1. Acceptance of Terms
By accessing or using the ReferMe platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and ReferMe Pte. Ltd. ("ReferMe", "we", "us", "our"), a company incorporated in Singapore.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. By registering, you represent that you meet these requirements and that the information you provide is accurate and complete.
3. Account Registration
To use the Platform, you must create an account and select a role: Candidate, Referrer, or Company. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in conduct that harms the Platform or its users.
4. Platform Services
For Referrers. The Platform enables you to submit structured referrals for candidates you know professionally. Each referral requires a mandatory 30-minute vouch session. You earn commissions when referred candidates are successfully hired through the Platform. Your credibility score reflects the quality and success rate of your referrals.
For Candidates. The Platform enables you to receive referrals, participate in vouch sessions, and build a Greenlight Profile based on AI-powered assessment. Greenlight status is awarded at the sole discretion of ReferMe based on assessment results and is not guaranteed.
For Companies. The Platform enables you to browse Greenlit candidates, request interviews, and manage your hiring pipeline. Access to candidate profiles requires an active subscription or pay-per-access arrangement.
5. Vouch Sessions
Vouch sessions are recorded with the explicit consent of both participants. Recordings are used for AI-powered assessment and quality assurance. You may not record, distribute, or share vouch session content outside the Platform without the written consent of all participants.
6. Greenlight Status
Greenlight status is awarded based on AI assessment across four pillars: Capability, Role Fit, Execution Signals, and Behaviour and Trust. Only candidates who meet the required threshold across all four pillars receive Greenlight status. ReferMe reserves the right to modify assessment criteria and thresholds at any time.
Greenlight status is valid for 12 months from the date of award and must be revalidated through a new assessment. Greenlight status does not guarantee employment or interviews.
7. Fees and Payments
Success fees. Companies pay a success fee of 5 to 10 percent of the hired candidate's annual salary upon successful placement through the Platform. The exact percentage is determined by the applicable subscription tier.
Referrer commissions. Referrers receive 30 to 50 percent of the success fee upon successful placement of their referred candidate. Commissions are paid through Stripe Connect to the referrer's registered payout method.
Advisory sessions. Professionals set their own pricing for advisory sessions. The Platform retains a commission of 10 to 20 percent on each completed session. Cancellation charges apply as specified in the Platform.
All payments are processed through Stripe and are subject to Stripe's terms of service. Prices are in Singapore Dollars (SGD) unless otherwise stated.
8. Prohibited Conduct
You agree not to:
- Provide false or misleading information in your profile, referrals, or vouch sessions
- Submit referrals for candidates you do not know professionally
- Attempt to manipulate credibility scores, Greenlight assessments, or platform metrics
- Use the Platform to discriminate against candidates based on protected characteristics
- Share, sell, or distribute candidate data obtained through the Platform
- Use automated tools to scrape, collect, or access Platform data
- Circumvent rate limits, security measures, or access controls
- Interfere with the operation of the Platform or other users' experience
9. Intellectual Property
The Platform, including its design, code, algorithms, Greenlight Framework, and assessment methodology, is the intellectual property of ReferMe. You may not copy, modify, distribute, or create derivative works based on the Platform without our written consent.
You retain ownership of the content you submit to the Platform (profile information, vouch session content). By submitting content, you grant ReferMe a non-exclusive, worldwide license to use, process, and display that content for the purposes of operating the Platform.
10. Limitation of Liability
ReferMe provides the Platform on an "as is" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or that any specific outcome (including employment) will result from using the Platform.
To the maximum extent permitted by Singapore law, ReferMe's total liability for any claims arising from your use of the Platform is limited to the fees you have paid to ReferMe in the 12 months preceding the claim.
11. Dispute Resolution
These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or your use of the Platform will be resolved through the courts of Singapore.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes through the Platform or by email at least 14 days before the changes take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
